These Terms of Service apply to all of the following offerings operated by Prodegy Labs Private Limited, together with the ProdegyVault marketing site, documentation, and related support channels (collectively, the Services):
You may use one or more modules under the same or separate subscriptions or workspaces. Unless a signed order form or checkout terms say otherwise, these Terms govern each module you access. Product-specific descriptions, limits, or pricing may appear on each module’s pages (for example pricing and the module homepages linked above).
By accessing or using any part of the Services—including Core Prodegy Vault, Family Vault, Credentials Vault, or Legal Vault—you accept and agree to be bound by this agreement. If you do not agree, do not use the Services.
Permission is granted to temporarily download one copy of the materials (information or software) on Prodegy Vault for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
The materials on Prodegy Vault are provided on an 'as is' basis. Prodegy Labs makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
In no event shall Prodegy Labs or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Prodegy Vault, even if Prodegy Labs or an authorized representative has been notified orally or in writing of the possibility of such damage.
The materials appearing on Prodegy Vault could include technical, typographical, or photographic errors. Prodegy Labs does not warrant that any of the materials on Prodegy Vault are accurate, complete, or current. Prodegy Labs may make changes to the materials contained on Prodegy Vault at any time without notice.
Prodegy Labs has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Prodegy Labs of the site. Use of any such linked website is at the user's own risk.
Prodegy Labs may revise these terms of service for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.
Your use of our website is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the website and informs users of our data collection practices.
All content included on this website, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the website, is the property of Prodegy Labs and protected by international copyright laws. Certain parts of the Services are offered on a paid basis (including subscriptions, seats, usage-based fees, storage, add-ons, or professional services). Prices, billing cycles, currency, and what is included in each plan are as shown at checkout, in your account or workspace billing settings, on Pricing, or in a signed order form or statement of work. Unless we say otherwise in writing, fees are quoted exclusive of applicable taxes (see Section 13 for how India GST, UK and EU VAT, and US state and local sales taxes may apply).
By providing a payment method, you authorize Prodegy Labs and our authorized payment processors to charge that method for all fees when due, including recurring subscription renewals until you cancel in accordance with these Terms and our Cancellation Policy. You represent that you are authorized to use the payment method and that billing information you provide is accurate.
We may change our fees or introduce new charges with reasonable advance notice where required by law or contract; for ongoing subscriptions, we will generally notify you before the next renewal. If you do not agree to a fee change, you may cancel before the change takes effect as described in the cancellation policy.
How you connect to the internet (including use of VPNs or corporate proxies) can affect tax signals, fraud checks, and performance; see Section 14.
Payments may be processed by third-party payment service providers (for example, card networks, wallets, or Razorpay where offered). Their terms and privacy practices may apply in addition to ours. We do not store full card numbers on our servers when a processor tokenizes card data; we may retain transaction references, invoices, and tax records as required for accounting and legal compliance.
You are responsible for keeping a copy of invoices and receipts for your records. If you need a duplicate invoice or a corrected tax invoice (where applicable), contact support@prodegyvault.com from your registered account email.
Unless stated otherwise at checkout or in an order form, quoted fees are exclusive of applicable taxes. Prodegy Labs is not your tax adviser; the summary below is for transparency only. Final tax treatment depends on your customer type (consumer or business), location, product classification, and rules in force at the time of charge. Where we are legally required or commercially able to collect tax through our payment partners, we will show tax as a separate line on your invoice or at checkout.
India. Domestic sales to customers in India may be subject to Goods and Services Tax (GST) (Central GST, State GST, or Integrated GST as applicable). Our company registration details (including GSTIN) appear at the top of these Terms. If you are a registered business in India and qualify for a reverse charge or exemption, you must provide a valid GSTIN and any supporting documentation before we can treat your account as exempt from collection; verification is at our reasonable discretion.
United Kingdom. Supplies to customers in the UK may be subject to Value Added Tax (VAT) where we or our payment processor is required to account for UK VAT (including under applicable “marketplace” or digital services rules). The VAT rate applied will be the rate in force at the time of billing. Business customers may provide a valid UK VAT registration number where the rules allow zero-rating or reverse charge; we may validate the number with HMRC or equivalent services.
European Union. Supplies to customers in EU member states may be subject to VAT at the rate applicable in your country of residence or establishment (for B2C supplies of electronic services, generally the member state where you are located). For qualifying business-to-business (B2B) supplies, the reverse charge may apply where permitted: you may be responsible for accounting for VAT in your own return, and we may request a valid EU VAT identification number and evidence of business status. Specific treatment can vary by member state and by whether we sell directly or through a marketplace or reseller.
United States. State and local sales tax, use tax, or similar transaction taxes may apply based on your billing address, account address, or other sourcing rules determined by our payment processor and applicable law. Rates and rules differ by state, county, and city; we rely on automated tax engines where available. Some states exempt certain nonprofit or resale transactions only with valid exemption certificates on file.
General. You are responsible for any taxes not collected by us (for example, self-assessed use tax, withholding taxes on cross-border payments, or employer-side levies). If a tax authority later assesses additional tax, interest, or penalties in connection with your subscription, you agree to cooperate with us and, where you caused the underpayment through inaccurate information, to reimburse our reasonable out-of-pocket costs to the extent permitted by law. If you are tax-exempt in any jurisdiction, you must provide valid exemption documentation before we can adjust charges; approval is subject to verification and may require periodic renewal.
We understand that some customers use virtual private networks (VPNs) or privacy tools for legitimate security reasons. You may use such tools in a lawful manner. However, for billing, tax, fraud prevention, export compliance, and abuse detection, we and our payment processors may rely on signals such as your stated billing address, payment method country, account profile, and network indicators (which can differ when a VPN is used).
Performance. Routing traffic through a VPN or distant proxy can increase latency, affect real-time features (for example collaboration or WebSockets), change which regional edge or content path you hit, or interact with corporate firewalls. We do not warrant identical speed or availability when you use VPNs or similar routing, and support may ask you to reproduce an issue on a direct connection when diagnosing performance.
Accurate commercial information. You agree to provide truthful billing and tax information. Material inconsistencies—such as a payment or tax jurisdiction that does not reasonably match your actual place of use or entitlement—can complicate tax reporting, trigger processor risk controls, or suggest policy evasion. Where we reasonably believe there is fraud, sanctions circumvention, tax evasion, or breach of export or security rules, we may take proportionate action including requesting identity or business verification, correcting tax treatment, temporarily suspending access, or closing the account.
Refunds when misuse is established. If we reasonably determine that you have materially misused the Services or purchase flow in connection with the above (for example, systematic misrepresentation of location to obtain improper tax treatment or pricing), we may deny or claw back discretionary refunds for the affected charges to the extent permitted by law and our Refund Policy. Nothing in this section limits refunds or chargebacks that applicable law or payment network rules require. If you believe a flag is a false positive (for example, a corporate VPN), contact support@prodegyvault.com promptly with evidence; we will review in good faith.
Refunds and credits are governed by our Refund Policy, which forms part of these Terms. In summary: subscription fees are generally billed in advance and are non-refundable once a billing period has started, except where we state a money-back window at checkout, where we confirm a billing error, where a material service outage on our side is not remedied within a reasonable time, or where applicable law or card network rules require a refund.
Credits (if any) issued at our discretion are not cash, may expire, and may only be applied toward future ProdegyVault fees unless we agree otherwise in writing.
How you cancel or change a subscription, and what happens to your data and access at the end of a period, is described in our Cancellation Policy. Unless an order form says otherwise, subscriptions may renew automatically until cancelled. Downgrading a plan may reduce features, seats, or storage limits; you remain responsible for fees for the current billing period unless the Refund Policy applies.
If a payment fails or is reversed, we may retry the charge, notify you, and suspend or limit access to paid features until payment succeeds. We may charge reasonable interest or reactivation fees only where permitted by law and disclosed in advance. You remain liable for all amounts owed for periods during which the Services were available to you.
Extended non-payment may result in termination of the subscription and eventual deletion of data in line with our Privacy Policy and data retention practices. You may export your data where the product supports export before cancellation or suspension, subject to your plan and technical limits.
If you believe an invoice or charge is incorrect, you must notify us promptly at support@prodegyvault.com with your workspace or organization name, invoice or transaction ID, and a clear description of the dispute. We will investigate in good faith and respond within a reasonable timeframe. You agree not to initiate a chargeback or payment reversal for valid charges you authorized while we are actively working with you to resolve a dispute, except where required to protect your rights under law or card network rules.
If you initiate a chargeback or reversal that we reasonably determine to be invalid or abusive, we may suspend or close your account, offset amounts owed, and pursue collection of fees and costs permitted by law. Nothing in this section limits our right to assert a claim in the courts identified under Governing Law.

For formal complaints about the Services, discrimination, harassment, or serious misconduct related to ProdegyVault, contact complaints@prodegyvault.com. Please include your registered email, organization or workspace name, and a factual summary of the concern.
We aim to acknowledge complaints within two business days and to provide a substantive response within fifteen business days where investigation is straightforward; complex matters may require longer and we will keep you informed. If you are not satisfied with the outcome, you may request escalation in writing; escalation does not waive any requirement to follow the dispute resolution and governing law provisions below.
Nothing in this section prevents you from contacting a consumer protection authority or regulator where you have a legal right to do so.
Prodegy Labs is a product development company. While we strive to provide accurate information about our services and roadmap, all features described as "planned" or "roadmap" are subject to change. We do not guarantee implementation of any planned features on any specific timeline.
Prodegy Labs reserves the right to terminate or suspend access to the Services (including any module: Core Prodegy Vault, Family Vault, Credentials Vault, or Legal Vault) immediately, without prior notice or liability, for any reason whatsoever, including if you breach the Terms of Service.
Before initiating court proceedings (other than for urgent injunctive relief or non-payment claims where permitted), the parties agree to attempt to resolve disputes in good faith through the channels in Section 19. If a dispute relating to these Terms, fees, refunds, or the Services remains unresolved after thirty business days from our final written response, either party may pursue remedies in accordance with the Governing Law and jurisdiction section below.
You and Prodegy Labs agree that the courts specified below have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory rights you have under the laws of your country of residence as a consumer.
Our services are not intended for users under the age of 18. By using the Services, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
You acknowledge that all content, features, and functionality of Prodegy Vault (including Core Prodegy Vault, Family Vault, Credentials Vault, and Legal Vault), including but not limited to all information, software, text, displays, images, video, and audio (collectively, "Content") are owned by Prodegy Labs, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.
To the fullest extent permitted by law, in no event shall Prodegy Labs, its officers, directors, employees, or agents, be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability, even if Prodegy Labs has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Prodegy Labs, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms of Service or your use of the Services.
Prodegy Labs shall not be liable for any failure to perform its obligations if such failure is due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or governmental action.
If any provision of these Terms of Service is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
These Terms of Service, the Privacy Policy, the Refund Policy, and the Cancellation Policy (each as updated from time to time) constitute the entire agreement between you and Prodegy Labs regarding your use of the Services (including all modules listed under Products and modules in scope), and supersede all prior and contemporaneous agreements, whether written or oral, except for a signed enterprise order form or data processing agreement that explicitly states it overrides a specific provision.
The failure of Prodegy Labs to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
You may not assign these Terms of Service or any rights granted hereunder without the prior written consent of Prodegy Labs. Prodegy Labs may assign these Terms of Service or any rights granted hereunder without restriction.
These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
